Welcome to StoreCheckup.
These Terms of Service (“Terms”) govern your use of StoreCheckup, including our website, application, CheckUps, reports, integrations, and related services.
By creating an account, purchasing a subscription, connecting a store, or otherwise using StoreCheckup, you agree to these Terms.
1. The StoreCheckup Service
StoreCheckup provides automated monitoring, testing, and diagnostic tools designed to help online store owners identify technical and operational problems that could affect their stores and revenue.
Depending on your subscription, StoreCheckup may monitor areas including checkout functionality, tracking pixels, shipping, customer emails, pricing, stock, plugins, advertising links, landing pages, and security.
Our purpose is to help you identify potential problems as quickly as reasonably possible so that you can take appropriate action.
2. StoreCheckup Is Not Insurance
StoreCheckup is a monitoring and risk-reduction service. It is not an insurance policy, warranty, or guarantee against business losses.
The service is designed to reduce the risk of problems affecting your store; it does not transfer the financial risk of operating your business to StoreCheckup.
For example, a store may experience an outage while StoreCheckup is undergoing scheduled maintenance, while a third-party service is unavailable, or between two monitoring checks. StoreCheckup cannot guarantee that every such event will be detected or prevented.
You remain responsible for your store and for maintaining any additional safeguards, backups, insurance, or business-continuity arrangements appropriate for your business.
3. CheckUp Results
StoreCheckup performs automated checks under the conditions present when each CheckUp is performed.
A successful CheckUp means that the relevant functionality was operating as expected at the time of the test. Conditions can subsequently change due to software updates, configuration changes, hosting problems, third-party failures, or other circumstances.
Similarly, a warning or failed CheckUp indicates a potential issue that should be investigated, but does not necessarily mean that your store is currently losing sales or that StoreCheckup has identified the sole cause of a problem.
4. Automated Testing
Some StoreCheckup services may interact with your store in a manner similar to a real customer.
This can include visiting pages, viewing products, initiating checkout processes, checking shipping calculations, testing links, or performing other actions necessary to conduct a CheckUp.
By enabling the relevant service, you authorize StoreCheckup to perform these automated tests on your store.
You are responsible for ensuring that you have the authority to connect your store and authorize these activities.
5. Third-Party Services
StoreCheckup may depend on or interact with third-party services, including ecommerce platforms, hosting providers, payment processors, advertising platforms, analytics services, email providers, plugins, APIs, and security services.
We do not control these third parties and cannot guarantee their availability or continued operation.
A change, outage, restriction, or failure affecting a third-party service may affect either StoreCheckup or your store.
6. Availability and Maintenance
We will make reasonable efforts to keep StoreCheckup available and functioning.
From time to time, StoreCheckup may be temporarily unavailable because of maintenance, upgrades, security measures, infrastructure problems, third-party outages, or circumstances beyond our reasonable control.
Where reasonably practical, we may schedule maintenance in advance and provide notice to users.
7. Alerts and Notifications
StoreCheckup may notify you when it detects a potential problem.
You are responsible for reviewing alerts and taking appropriate action.
Because automated monitoring cannot detect every possible problem, the absence of an alert should not be interpreted as confirmation that your store is completely free of problems.
8. Your Responsibilities
You are responsible for:
- Your online store and its operation
- Your products, prices, and inventory
- Your hosting and domain
- Your payment and shipping providers
- Your plugins and integrations
- Your advertising accounts
- Your customer communications
- Your store backups and security
- Responding appropriately to StoreCheckup alerts
- Compliance with laws applicable to your business
StoreCheckup is intended to assist you in managing these risks, not to replace your own oversight of your business.
9. Subscriptions and Billing
Certain StoreCheckup features require a paid subscription.
Prices, billing periods, and available plans are displayed before purchase.
Unless otherwise stated, subscriptions automatically renew for the selected billing period until cancelled.
You may cancel your subscription using the cancellation options provided by StoreCheckup.
Cancellation normally prevents future renewal but does not automatically refund a billing period that has already started, except where otherwise stated or required by applicable law.
10. Refunds and Liability for Business Losses
StoreCheckup is not responsible for lost revenue, lost profits, lost sales, advertising expenditure, chargebacks, refunds, business interruption, or other business losses resulting from your store, StoreCheckup, or a third-party service.
In particular, temporary StoreCheckup maintenance or downtime does not make StoreCheckup responsible for losses that may occur in your store during that period.
StoreCheckup does not provide compensation based on the amount of revenue or profit a customer believes they lost.
Where StoreCheckup is required to provide compensation for a failure of the service, and to the maximum extent permitted by applicable law, our total liability will be limited to reimbursement of the subscription fees actually paid for the affected StoreCheckup service for the applicable subscription period.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.
11. No Guaranteed Financial Results
StoreCheckup is designed to help reduce operational risk and identify problems that could affect your store.
However, we do not promise that using StoreCheckup will increase sales, prevent all losses, prevent downtime, prevent fraud, or produce any particular financial result.
12. Account Security
You are responsible for keeping your StoreCheckup account credentials secure and for activity carried out through your account.
You must notify us if you believe your account has been accessed without authorization.
13. Acceptable Use
You agree not to:
- Use StoreCheckup for unlawful purposes
- Attempt to gain unauthorized access to StoreCheckup or another account
- Circumvent security measures
- Interfere with StoreCheckup’s infrastructure
- Attempt to disrupt or damage another person’s systems
- Reverse engineer StoreCheckup except where permitted by law
- Abuse or overload the service
- Use StoreCheckup in a manner that violates applicable law
We may suspend or terminate access where reasonably necessary to protect StoreCheckup, our users, or third parties.
14. Intellectual Property
StoreCheckup, including its software, technology, branding, design, documentation, interfaces, and CheckUp systems, is owned by or licensed to StoreCheckup and is protected by applicable intellectual-property laws.
Using StoreCheckup does not transfer ownership of any of these materials to you.
You retain ownership of your store, content, and information that you provide to StoreCheckup, subject to the rights necessary for us to provide the service.
15. Feedback
If you provide suggestions, ideas, or feedback about StoreCheckup, we may use that feedback to improve our services without owing you compensation, provided that doing so does not disclose your confidential information.
16. Suspension and Termination
You may stop using StoreCheckup at any time.
We may suspend or terminate an account where reasonably necessary, including in cases of material breach of these Terms, fraud or abuse, security risks, non-payment, legal requirements, or circumstances in which continued operation of the service is no longer reasonably possible.
17. Disclaimer of Warranties
To the maximum extent permitted by applicable law, StoreCheckup is provided on an “as is” and “as available” basis.
We will make reasonable efforts to provide a reliable and useful service, but we do not warrant that StoreCheckup will be uninterrupted, completely error-free, or capable of detecting every possible problem affecting a store.
18. Limitation of Liability
To the maximum extent permitted by applicable law, StoreCheckup and its owners, operators, employees, contractors, and service providers will not be liable for indirect, incidental, special, consequential, or similar damages, including loss of revenue, profits, sales, customers, data, goodwill, or business opportunities arising from your use of the service.
Our total aggregate liability relating to StoreCheckup will, to the maximum extent permitted by applicable law, be limited to the subscription fees actually paid by you for the affected StoreCheckup service during the subscription period in which the event giving rise to the claim occurred.
This limitation does not apply to liability that cannot legally be excluded or limited.
19. Indemnification
To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless StoreCheckup and its owners, operators, employees, contractors, and service providers from claims, liabilities, damages, losses, and expenses arising from your misuse of StoreCheckup, your violation of these Terms or applicable law, or your store and business activities.
20. Changes to These Terms
We may update these Terms from time to time to reflect changes to StoreCheckup, our services, or applicable legal requirements.
When we make changes, we will update the “Last updated” date at the beginning of these Terms.
Where appropriate, we may provide additional notice of significant changes.
21. Governing Law
These Terms will be governed by and interpreted in accordance with the laws applicable to StoreCheckup and its operating entity, except where mandatory consumer-protection laws provide otherwise.
Nothing in these Terms is intended to remove rights that you cannot legally waive under applicable law.
